 Module 1 

Learn the Fundamentals

Build a strong foundation in NDA language and trade secret concepts so you understand what counts as a trade secret, what reasonable efforts require, and how purpose shapes the scope of protection. (20 minutes)

 Module 2 

Defining Confidential Information

Develop a clear strategy for defining confidential information, including who discloses and receives it, when it is received, what is covered, and the standard exceptions that keep the definition realistic. (30 minutes)

 Module 3 

Drafting the NDA's Core Provisions

Learn how to structure the NDA’s core obligations, set the effective date, capture the right signing parties and affiliates, and draft practical non use and non disclosure and conditional approval terms. (20 minutes)

 Module 4 

Term, Termination, and Other Provisions

Navigate exclusions, mitigation, notice, process, and cooperation concepts, as well as Laura's final advice for approaching these negotiations. (41 minutes)

 Module 5 

Managing Operational Risk

Identify and avoid high risk NDA terms such as indemnities, liability limits, liquidated damages, non solicitation, and privacy provisions, and learn how order of precedence keeps your NDA aligned with the main agreement. (20 minutes)
