This webinar covers how to read obligation language and defined terms accurately. It explains the difference between shall, will, and may, how conditions such as if and unless change an obligation, and how to spot ambiguous, inconsistent, or conflicting language and the business effect of each reading. The session also covers finding defined terms that are missing, inconsistent, or unused, checking key definitions such as Affiliate and Confidential Information against company standards, and negotiating definitions that control the scope of other provisions, including Customer Data, Losses, and Deliverables.
