Data definitions shape a lot of what happens in a technology or services agreement. Terms like "Customer Data," "Personal Data," "Usage Data," and "Aggregated Data" often decide what a vendor can do with information, which confidentiality and security obligations apply, and what has to be returned or deleted when the relationship ends. These definitions usually get less attention than the provisions that rely on them, and they're often carried over from a template without much thought about how they fit the deal at hand. A definition that's a little too broad or too narrow can change the reach of use restrictions, data protection commitments, and deletion obligations in ways neither party may have intended.
In this webinar, Laura Frederick, Akiva Miller, and Tiffany Bui LeTourneau will discuss how attorneys can draft and review data definitions that reflect how data actually moves in a given relationship. The speakers will cover common data categories and where they tend to overlap, how contracts typically handle derived, aggregated, and de-identified data, and how definitions connect to use rights, confidentiality, security, and return or deletion provisions. They'll also talk through the questions to ask business teams about the data involved before drafting, and practical ways to catch gaps and inconsistencies when reviewing the other side's paper.
