More companies are connecting AI agents to internal systems and outside services through Model Context Protocol (MCP) servers, and their contracts are starting to reflect that. What an agent can reach usually depends on which connectors are turned on and what each connected tool is set up to do. Those details can change after the agreement is signed. A connector that looked limited at approval may later add tools or update its description, or it may let an agent change records the company only expected it to read. For attorneys drafting agreements with AI vendors and platform providers, this raises practical questions. Who decides what gets connected? Who's responsible when a tool doesn't work the way it was described? And what happens when an agent takes an action the company needs to reverse?
In this webinar, Laura Frederick and Yelena Ambartsumian will cover three sets of contract provisions that address these questions. The first is connector inventory and approval rights, including how to specify which MCP servers and tools a party may connect and how new connections get approved. From there, the speakers will discuss tool definition and schema accuracy provisions and how to allocate responsibility when a connected tool's description or schema changes or doesn't accurately reflect what the tool does. The program wraps up with read/write scope and reversibility provisions, which limit what an agent can modify through a connector and require that its actions can be undone. Attendees will leave with drafting approaches they can adapt for their own agreements involving AI agents connected to company systems.
